In accordance with the FSA's Disclosure and Transparency Rule 5.6, F&C Global Smaller Companies PLC ("the Company") advises that as at 31 July 2012 the Company had 42,102,335 ordinary shares of 25p each in issue with a total of 42,102,335 voting rights.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
