The Renewables Infrastructure Group Limited (the "Company")

 

Additional Listing - Scrip Dividend

Application has been made for 1,323,336 ordinary shares of no par value ("Shares") to be admitted to the Official List (premium segment) of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities. It is expected that these Shares will be admitted on 31 March 2014 ("Admission").

The application is being made pursuant to the scrip dividend alternative in lieu of cash for the interim dividend for the period from 29 July 2013 (being the date of IPO admission) to 31 December 2013. Elections for the scrip dividend alternative were received in respect of 17.39% of the ordinary shares in issue as at the record date of 21 February 2014. When issued, these Shares will rank pari passu with the existing ordinary shares.

Total Voting Rights

In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, the total number of Ordinary Shares in the capital of the Company in issue on Admission will be 311,558,687, each with one voting right. No Ordinary Shares are held in treasury.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
