Each of these interests has arisen as a result of entitlements originally
conferred on each individual during August 2005 under the terms of an employee
benefit trust established by Investec plc, details of which are summarised in
paragraph 8.3 of Part X of the Listing Particulars issued by the Company on 23
March 2005.
In addition to the entitlements set out above, Stephen Elliott has a personal
existing beneficial holding of 1,500 ordinary 10 90/91 pence shares and Mark
Redmayne has a personal existing beneficial holding of 2,500 ordinary 10 90/91
pence shares in the Company.
