The Evolution Group Plc (the "Company") has received notification from
Evolution EBT Limited as Trustee of The Evolution Group Plc Employees'
Share Trust (the "Trust") (a discretionary trust of which all employees
of The Evolution Group Plc and its subsidiaries are beneficiaries) that on
03 October 2007 the Trust completed the purchase of 250,000 ordinary shares of
1p each in the Company ("the Acquired Shares") at £1.1036 per share.
None of the Acquired Shares referred to above were transferred to, sold on
behalf of or purchased directly for any of the executive directors
(the "Directors") of the Company. However, each of the Directors is a member
of the class of discretionary beneficiaries of the Trust and is consequently
taken to have an interest in all the Shares held in the Trust. As a
consequence of the acquisition of the Acquired Shares by the Trust the
Directors are deemed to be interested in those shares.
As at 4 October 2007, the Trust held a total of 14,050,416 Shares, representing
approximately 6.295% of the Company's issued share capital at that date.
