                            Directors' Shareholdings

Sanne Trustee Company UK Limited as trustee of The Evolution Group Plc Employee
Share Incentive Plan Trust.

The Evolution Group Plc ("Evolution" or the "Company"), the investment bank and
retail fund management group, announces that Sanne Trustee Company UK Limited
(the "Trustee") in its capacity as the trustee of The Evolution Group Plc
Employee Share Incentive Plan Trust (the "Plan") on 4 October 2006 purchased
12,308 Ordinary shares of 1p each at a price of 141.76 pence per share with no
"matching shares" required to be issued under the terms of the Plan due to
forfeiture of "matching shares" by individuals leaving the Company . The Trustee
holds the shares as Nominee for the participants of the Plan.

The total purchase included the following shares in respect of certain of its
directors:
