Directors' Shareholdings

The Evolution Group Plc ("Evolution" or the "Company"), the investment bank and retail fund management group, announces that Capita Share Plan Services (the "Trustee") in its capacity as the trustee of The Evolution Group Plc Employee Share Incentive Plan Trust (the "Plan") on 3 November 2010 purchased 32,956 Ordinary Shares of 1p each in the Company ("Partnership Shares") at a price of 85.75 pence per share. The Company also received notice that the Trust had on 20 October 2010 purchased 27,052 Ordinary Shares of 1p each in the Company ("Dividend Shares") at a price of 84.18 pence per share.  Evolution had today allotted 32,956 Ordinary Shares of 1p each credited as fully paid at 85.75 pence per share to the Trustee as "matching shares" under the terms of the Plan.   

The Trustee holds the shares as Nominee for the participants of the Plan.

The total purchase and issue for the Plan included the following shares in respect of the following directors:
