                               Grant of options



On 11 May 2001, the following directors of the Company were granted options
over ordinary shares of 1p each in the capital of the Company, pursuant to The
Evolution Group Plc Executive Share Option Scheme:

All of the options granted on 11 May 2001 are exerciseable at a price of
58.67p and no consideration was paid for the grant of such options.



Super Options are exerciseable at any time after the third anniversary of the
date of grant, that is from 12 May 2004.  Exercise of Super Options is subject
to the average mid market quotation of the Company's shares over a thirty day
period following the date of grant being 50 per cent. higher than the exercise
price.



Options are exerciseable at any time after the second anniversary of the date
of grant, that is from 12 May 2003.



No Options or Super Options are capable of being exercised following the tenth
anniversary of the date of grant.
