RECOMMENDED MERGER WITH BEESON GREGORY
OFFER UPDATE
On 19 July 2002, Evolution made a proposal ("the Option Proposal") to holders of
options over shares in Beeson Gregory Group PLC ("Beeson Gregory") permitting
them either to roll over their options into similar options over shares in
Evolution or, alternatively, to exercise their options and, if they wish, accept
the merger offer made by Evolution for the shares in Beeson Gregory on 13 June
2002 ("the Merger Offer").
Pursuant to the Option Proposal, 1,376,232 new Evolution Shares will be allotted
to certain option holders on 9 August 2002, and Evolution has applied for those
new shares to be admitted to trading on the Alternative Investment Market. It is
expected that such admission will take place on 12 August 2002.
