                           Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision six, The
Evolution Group Plc ("the Company") would like to notify the market of the
following:

The Company's share capital consists of 221,394,244 ordinary shares of 1p each,
with voting rights. The Evolution Group Plc holds no shares in Treasury.

This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or change to their interest in, the Company under the FSA's Disclosure and
Transparency Rules.
