                         Transaction in own shares

The Evolution Group Plc ("the Company") announces that on 14 September 2004
Evolution EBT Limited as Trustee of The  Evolution Group Plc Employees' Share
Trust ("the Trust")(a discretionary trust of which all employees of The
Evolution  Group Plc and its subsidiaries are potential beneficiaries) purchased
757,800 Ordinary 1p Shares (Shares) in the  Company at a price of £1.51 per
share.

The Executive Directors are deemed for Companies Act purposes to be interested
in all Shares held by the Trust.

Following this transaction, the Trust holds a total of 1,802,674 Shares
representing 0.73% of the Company's issued  share capital.
