Transactions in own shares

                              Evolution Group plc

The Evolution Group Plc ("the Company") announces that on 5 April 2005 it 
purchased 8,988,100 Ordinary 1p Shares ("Shares") in the Company at £1.65 per 
share. The Shares purchased by the Company were purchased for cancellation. 
Following such cancellation the issued share capital of the Company has been 
reduced to 240,508,393 Shares.

The Company also announces that on 5 April 2005 Evolution EBT Limited as 
Trustee of The Evolution Group Plc Employees' Share Trust ("the Trust")
(a discretionary trust of which all employees of The Evolution Group Plc and its 
subsidiaries are potential beneficiaries) purchased 618,000 Shares in the 
Company at £1.65 per share.

The Executive Directors are deemed for Companies Act purposes to be interested 
in all Shares held by the Trust.

The Trust now holds a total of 3,682,642 Shares representing 1.53% of the 
Company's issued share capital.
