Transaction in own shares and disclosure of directors' interest in shares
The Evolution Group Plc ("the Company") announces that on 29 April 2005 it
purchased for cancellation 309,250 Ordinary 1p Shares in the Company at prices
between £1.54 and £1.55 per share.
In addition, the Company has today received notification from Evolution EBT
Limited as Trustee of The Evolution Group Plc Employees' Share Trust ("the
Trust") (a discretionary trust of which all employees of The Evolution Group Plc
and its subsidiaries are beneficiaries), that on 29 April 2005 183,945 Ordinary
1p Shares ("Shares) were either transferred to, or sold on behalf of, employees
who had exercised options over Shares held in the Trust.
None of the Shares referred to above were transferred to or sold on behalf of
any of the executive directors (the "Directors") of the Company. However, each
of the Directors is a member of the class of discretionary beneficiaries of the
Trust and is consequently taken to have an interest in all the Shares held in
the Trust. As a consequence of the vesting of the aforementioned Shares in
employees other than the Directors, the Directors have ceased to be interested
in those shares.
The Trust now holds a total of 3,415,364 Shares representing approximately 1.50%
of the Company's issued share capital.
