Transactions in own shares

The Evolution Group Plc ("the Company") announces that between 3 and 4 May 2005 
it purchased 402,000 Ordinary 1p Shares ("Shares") in the Company at prices 
between £1.52 and £1.55 per share. The Shares purchased by the Company were 
purchased for cancellation.

The Company also announces that on 5 April 2005 Evolution EBT Limited as Trustee 
of The Evolution Group Plc Employees' Share Trust ("the Trust")(a discretionary 
trust of which all employees of The Evolution Group Plc and its subsidiaries are 
potential beneficiaries) purchased 618,000 Shares in the Company at £1.52 per 
share.

The Executive Directors are deemed for Companies Act purposes to be interested 
in all Shares held by the Trust.

The Trust now holds a total of 4,033,364 Shares representing 1.76% of the 
Company's issued share capital.
