CAPITALTECH PLC ('the Company')
DIRECTORS' SHAREHOLDINGS
Pursuant to the allotment under the Rights Issue announced today and other
acquisitions all completed today, the interests of four of the Company's
directors have increased as follows:
1. The family trusts of Robert Adair, Chairman of the Company, have
been allotted 14,985,903 new Ordinary Shares (all Ordinary shares referred to
in this announcement have nominal value of 2p each) pursuant to the Rights
Issue and their underwriting thereof at a price of 10p each and have purchased
separately 22,494 Ordinary Shares at a price of 10p each. Mr Adair's interest
in the share capital of the Company has thus increased from 32,172,975
Ordinary Shares (52.89%) to 47,181,372 Ordinary Shares (63.46%)
2. D. Ross Macdonald, Chief Executive of the Company, has been
allotted 62,682 Ordinary shares pursuant to the Rights Issue at a price of 10p
each, and he has separately purchased 1,969 Ordinary Shares at a price of 10p
each and he has, pursuant to the option announced on 30 April 2001 purchased
from the Company's Share Ownership Trust 20,000 Ordinary Shares at a price of
2p each. Mr Macdonald's interest in the share capital of the Company has thus
increased from 343,875 Ordinary Shares (0.57%) to 428,526 Ordinary Shares
(0.58%)
3. Sean D. H. Cufley, Director of the Company, has been allotted
18,714 Ordinary Shares pursuant to the Rights Issue at a price of 10p each and
he has separately purchased 1,968 Ordinary Shares at a price of 10p each. Mr
Cufley's interest in the share capital of the Company has thus increased from
53,711 Ordinary Shares (0.09%) to 74,393 Ordinary Shares (0.10%)
4. Miranda A. Kelly, Director of the Company, has been allotted 12,020
Ordinary Shares pursuant to the Rights Issue at a price of 10p each and she
has separately purchased 1968 Ordinary Shares at a price of 10p each. Miss
Kelly's interest in the share capital of the company has thus increased from
34,500 Ordinary Shares (0.06%) to 48,488 Ordinary Shares (0.07%).
