PDMR/PCA Shareholdings

THG PLC (the "Company") announces that it was notified on 1 July 2022 of the purchase by FIC Shareco Limited ("FIC Shareco"), classified as a person closely associated with Matthew Moulding, the chief executive officer of the Company, of 3,032,508 ordinary voting shares of £0.005 each ("Ordinary Shares") at a price of 82.44 pence per ordinary share from The Moulding Foundation ("TMF"), classified as a person closely associated with Matthew Moulding.

TMF has made the sale in order to enable it to complete committed charitable donations, namely £5m to Seashell Trust (a campus for children with complex needs) and £3.5m to projects addressing homelessness in Manchester.

Matthew Moulding and FIC Shareco have pledged to donate any future profit made on these Ordinary Shares to TMF.

The Company makes the below announcement and notification in accordance with the requirements of the UK Market Abuse Regulation:
