CapitalTech plc
CapitalTech plc has convened an EGM to be held on 20 April 2001 at 12 Noon for
the purpose of considering and, if thought fit, passing resolutions to approve
draft contracts to purchase for cancellation of:
(a) 135,263 Ordinary Shares of 2p each at price of 20.5p
(b) 120,000 Ordinary Shares of 2p each at a price of 21p each
(c) 25,000 Ordinary Shares of 2p each at a price of 21p each
(d) 100,000 Ordinary Shares of 2p each at a price of 21p each
The Adair Trusts and Directors of the Company who, in aggregate, hold 53.01%
of the Ordinary Shares of CapitalTech plc, have undertaken to vote in favour
of the Resolutions. On the assumption that the repurchases are completed
CapitalTech will, thereafter, have 57,333,814 Ordinary Shares of 2p in issue.
