Underwritten Non-Assignable Rights Issue/Share Repurchase
Further to the announcement released on 1 October 2001 the Company is today by
a Prospectus dated 3 October 2001, making an underwritten, non-assignable
Rights Issue to members of the Company (on the register at close of business
on 1 October 2001) of 20 million New Ordinary Shares of nominal value 2p each
on the basis of 1 new Share for each 2.87 Shares. The Company is also
offering today, subject to the necessary members' approval, to Repurchase up
to 10 million Existing Ordinary Shares. Both the Issue and Repurchase will be
at the price of 10p.
The latest time and date for receipt of Forms of Tender under the Repurchase
is 3pm on 15 October 2001.
The latest time and date for receipt of the Application Forms and payment in
full under the non-assignable, underwritten Rights Issue is 3pm on 29 October
2001. Application Forms issued to Shareholders for use under the Rights Issue
are personal to the persons to whom they are sent and may not be assigned,
transferred or split except to satisfy bona fide market claims and in this
connection the Splitting Date is 3pm on 25 October 2001.
It is expected that Admission of the New Shares to AiM and commencement of
dealings will take place on 5th November 2001.
The repurchase, if approved, will allow shareholders to tender shares for sale
directly to the Company, and may reduce the trickle of shareholders selling
which has had a depressing effect on the share price of the company in a
relatively illiquid market.
The Rights Issue will in part provide proceeds for the repurchase, and in part
improve the Company's equity/borrowing ratio, and is being made in the light
of (a) the acquisition of the outstanding 50% of PCG Residential Lettings
(No.9) Limited announced on 26 September 2001 and (b) further possible
acquisitions which have been the subject of a previous announcement.
