Voting Rights and Capital

In conformity with the Transparency Directive's Transitional Provision 6, F W
Thorpe plc  would like to notify the market of the following:

F W Thorpe's issued share capital comprises 11,897,576 shares of  10p each. The
Company does not have any Treasury Shares or any other non voting shares.

The total number of voting rights in 11,897,576 shares is therefore 11,897,576.

The above figures may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, F W Thorpe  under the FSA's
Disclosure and Transparency Rules.
