TI Fluid Systems plc
(the "Company")
Susan Levine, non-executive director, has informed the Board of her decision to step down as a director of the Company with effect from the end of the Company's upcoming 2024 Annual General Meeting, at which she will not stand for re-election. Ms. Levine, who is one of two nominees of BC Omega Holdco, Ltd. ("Bain Capital"), the Company's largest shareholder, will remain a director and member of the ESG Committee until that time.
Bain Capital has informed the Board that it does not intend to nominate an additional person for appointment as a director to replace Ms. Levine but that it retains the right to nominate an additional person for appointment as a director under the terms of its relationship agreement with the Company dated 25 October 2017.

She has played a key role on the Board, including supporting the Company's leadership development and the Company's sustainability work though her ESG Committee membership. It has been a pleasure for my colleagues and I to work alongside her and we wish her well for the future".
This announcement has been made in accordance with the requirements of Listing Rule 9.6.11R.
