Torex Retail Plc (the 'Company')
Holding in Company
Having been previously authorised by the Company under the terms of the formal
lock-in agreement announced on 28 September 2005 ('the Lock-In Agreement') Rob
Loosemore, the previous Chairman, has on 17 May 2006 informed the Company that
he has transferred a total of 17,416,320 ordinary shares of 1p each in the
Company ('Ordinary Shares') (representing 4.71 per cent. of the Company's
current total issued ordinary share capital of 369,780,258 Ordinary Shares) to
members of his family both personally and into trust. Following these transfers
Rob Loosemore is interested in 10,708,679 Ordinary Shares representing 2.9 per
cent. of the Company's current total issued ordinary share capital.
The Company confirms that the terms of the Lock-In Agreement will continue to
apply to the Ordinary Shares the subject of these transfers.
