Netcentric Systems PLC ('Netcentric' or the 'Company')
Netcentric are pleased to announce that at the EGM held earlier today all
resolutions were passed by shareholders.
The resolutions included approval being granted for the waiver (with the consent
of the Panel on Takeovers and Mergers) of the obligation, pursuant to Rule 9 of
the City Code on Takeovers and Mergers, for the members of the concert party to
make a general offer for the ordinary share capital of the Company. The concert
party own or have warrants over the ordinary shares of the Company which could
take its shareholding up to a maximum of 86,190,383 or 65.32 per cent. of the
ordinary shares of the Company.
It is anticipated that admission to trading on AIM of the ordinary shares
following the reconstruction of the capital and issue of ordinary shares by the
Company to London & Boston Investments in conversion of its debt of £318,930
owing by the Company to London & Boston Investments will commence on 29 July
2002.
These arrangements are detailed in a circular sent to shareholders on 27 June
2002.
