Application has been made by TOTAL S.A. to the UK Listing Authority and the
London Stock Exchange for the admission of 16,155,420 ordinary shares of Total
S.A. par value 2.5 euros per share, (i) 4,299,852 shares were issued in 2005 and
2006 (from January to April 2006), par value 2.5 euros per share, in connection
with the exchange guarantee granted to Elf Aquitaine employees, (ii) 714,248
shares, par value 2.5 euros per share, were issued in 2005 and 2006 (from
January to April 2006) in connection with the exercise of Total S.A.'s share
subscription option plans and (iii) 11,141,320 shares, par value 2.5 euros per
share, issued to employees in 2006. Moreover, application has been made by TOTAL
S.A. to the UK Listing Authority and the London Stock Exchange for the admission
of 2,408,738,160 ordinary shares of Total S.A., par value 2.5 euros per share in
order to take into account the four-for-one stock split that took place on
May 18, 2006. Dealings become effective from December 22, 2006.
