TOTALFINA ELF EXECUTIVE COMMITTEE ORGANIZATION

In line with the principles defined in the agreement between Elf Aquitaine and
Totalfina concerning their merger, the Executive Committee of Totalfina Elf will
comprise the following persons:

Chairman and Chief Executive Officer:   
     Thierry Desmarest

Vice Chairmen of the Executive Committee:
     Francois Cornelis, in charge of Totalfina petrochemicals, paints and
     coordinating US activities,
     
     Jacques Puechal, in charge of Elf Atochem and Totalfina specialty chemicals
     (excluding paints).

Members:

Jean-Luc Vermeulen, Executive Vice President and President of the Exploration
and Production Division,

Christophe de Margerie, Executive Vice President and Vice President of the
Exploration and Production Division,

Jean-Paul Vettier, Executive Vice President and President of the Refining and
Marketing Division,

Bernard de Combret, Executive Vice President and President of the Trading and
Midstream Gas Division,

Robert Castaigne, Executive Vice President and Chief Financial Officer,

Bruno Weymuller, Executive Vice President and President of the Strategy and Risk
Assessment.

The new Executive Committee will take up its functions when Thierry Desmarest is
appointed Chairman of Elf Aquitaine.

A new organization for the chemicals segment will be implemented in March, once
the Working Group completes its analysis, which will study strategic priorities
in terms of growth, the conditions for integration and the future organization
of the chemicals operations.

The Working Group will be chaired by Jacques Puechal and will include Francois
Cornelis, Jean-Pierre Seeuws and Francois Perier who will be appointed Deputy
Chief Executive Officer of Elf-Atochem.

Jacques Puechal will resign effective March 31, once the new organization is put
in place.

Bernard de Combret will then be appointed Vice Chairman of the Executive
Committee and retain his responsibilities.



Appointment at TOTALFINA ELF

Alain Madec, currently Totalfina's President of Strategy and Finance, will be
appointed Advisor to the Chairman, effective the day that Thierry Desmarest
becomes Chairman of Elf Aquitaine and a new Executive Committee assumes its
functions.
