Grant of Options under Totally plc SAYE Option Scheme

Totally (AIM: TLY), the provider of a range of services to the healthcare sector,  is pleased to announce that as part of its Save as You Earn share scheme (the "SAYE Scheme") all employees have been offered the opportunity to participate in the future growth of the Company through the granting of share options.

Eligible employees were invited to subscribe for options over ordinary shares of 10 pence each ("Ordinary Shares") with an exercise price of 14.3 pence per share, representing a 20 per cent discount to the closing mid-market price of the Ordinary Shares on 10 November 2020, the day before the invitation to participate was made. The exercise price was calculated in accordance with the rules of the SAYE Scheme. The options have a savings contract start date of 1 February 2021 and are exercisable between 1 February 2024 and 31 July 2024.

A total of 89 employees, including one member of Totally's board, a person discharging managerial responsibility ("PDMR"), elected to participate in the SAYE Scheme. Pursuant to this, a total of 2,606,554 options over Ordinary Shares were granted on 9 December 2020, equating to 1.43 per cent of the current issued ordinary share capital.

Following this most recent grant of options, there are now a total of 16,212,766 options outstanding over Ordinary Shares in the Company, of which 6,497,437 options are outstanding under the SAYE Scheme.
