                              Report and Accounts

The Company announces that it has posted to shareholders its annual report and
accounts for the year ended 30 June 2005 together with a circular seeking
authority for the Company to buy back ordinary and convertible preference shares
and an approval for a waiver of the obligation under Rule 9 of the City Code on
Takeovers and Mergers that would otherwise arise on a buy back of ordinary
shares.

The annual general meeting of the Company will take place on 25 November 2005.
