                           Transaction in Own Shares

Further to previous announcements concerning the facility set up for
shareholders in the Company holding 2,500 ordinary shares or less ('Small
Shareholders') to be able to dispose of their shares in the Company at nil cost
('Nil Cost Dealing Facility'), the Company announces that Small Shareholders
have tendered a further 11,134 ordinary shares under the Nil Cost Dealing
Facility prior to the final dealing date of 4 August 2004 and the Company has
bought for cancellation 11,134 ordinary shares at 26.5p per share.

Following this transaction, there are 98,696,899 ordinary shares in issue.
