Director/PDMR Shareholdings
The following transactions involving members of the Concert Party which were completed today are hereby announced. Neither Town Centre Securities PLC nor the Concert Party regard these transactions as a change in the total Concert Party shareholding.
1. The IA Ziff Number 5 trust sold 84,564 shares and the IA Ziff Number 6 trust sold 84,564 shares both to the Arnold and Marjorie Ziff Charitable foundation for a consideration of £2.20 per share
2. The Arnold and Marjorie Ziff Charitable Foundation sold 135,000 shares at £2.20 per share to the following purchasers all of whom are members of the concert party:
· 10,000 shares were purchased by Maxwell Daniel Manning
· 25,000 shares were purchased by Howard Ian Manning
· 25,000 shares were purchased by Andrew James Manning
· 25,000 shares were purchased by Fiona Leah Ryner
· 25,000 shares were purchased by Lianne Miriam Manning
· 25,000 shares were purchased by Laura Manning
3. The Arnold and Marjorie Ziff Charitable Foundation sold 34,128 shares at £2.43 per share to the following purchasers all of whom are members of the concert party:
· 8,532 shares were purchased by Charles Benjamin Aaron Ziff
· 8,532 shares were purchased by Oliver Jonathan Ziff
· 8,532 shares were purchased by Charlotte Daisy Ziff
· 8,532 shares were purchased by Jacob George Edward Ziff
4. The IA Ziff Number 5 trust distributed by way of gift 98,658 shares and the IA Ziff Number 6 trust distributed by way of gift 98,658 shares to the following recipients all of whom are members of the concert party:
· 28,188 shares to Charles Benjamin Aaron Ziff
· 28,188 shares to Oliver Jonathan Ziff
· 28,188 shares to Charlotte Daisy Ziff
· 28,188 shares to Jacob George Edward Ziff
· 28,188 shares to Samuel James Ziff
· 28,188 shares to Henry Max Ziff
· 28,188 shares to Alexander Michael Ziff
5. Edward Max Ziff sold 34,244 shares at £2.43 per share to Haseko Limited (17,122 shares) and Heseko No 2 Limited (17,122) both of whom are members of the concert party
6. Edward Ziff retired as a trustee of the Number 10 trust and Michael Ziff retired as a trustee of the Number 20 trust.
7. The following shares have been used as security for loans from Lloyds Bank and these are the only such disclosable commitments:
· 400,000 shares by Michael Ziff
· 1,531,677 shares by Marjorie Ziff
Following these transactions the shareholdings of the directors involved in these transactions were as follows:
Edward Ziff - Beneficial 5,471,416

Michael Ziff - Beneficial 3,251,513
- Non beneficial 12,954,352
The Concert Party, the composition of which has previously been agreed with the Takeover Panel, comprises two Directors, Edward Ziff and Michael Ziff and their immediate families including their sister, their mother, their children and a number of trusts of which they are both trustees.
