Executive Director Performance Share Plan ("PSP") Grant Notification
The Company announces that on 22 May 2020 the Executive Directors noted below were granted awards under the Trainline plc Performance Share Plan in the form of Performance Share Units ("PSUs").
The PSUs will vest subject to performance conditions based on the Company's earnings per share ("EPS") and relative total shareholder return ("TSR") over a 3 year period ending 28 February 2023. Vesting of up to 200% of salary is based on EPS and TSR relative to the FTSE 250 (excluding investment trusts) weighted 50/50, and up to an additional 50% of salary as a kicker based on exceptional EPS and relative TSR performance. A two-year holding period will apply on vesting, during which vested shares may not be sold save to cover tax liabilities.
The Company's Remuneration Committee will ensure that any vesting of the PSP cycle is consistent with the stakeholder experience over the performance period, taking into account perspectives of shareholders, employees and customers, as well as any other factors the Remuneration Committee deem appropriate.
