Transense Technologies plc - Directors' options
In consideration for transferring to existing option
holders the liability for employers' national insurance
that would otherwise have become payable by Transense on
the exercise of their options, the Remuneration Committee
has granted a total of 85,000 additional options on a 1
for 10 basis to those option holders. All these options
have been granted under the terms of Transense's
unapproved discretionary share option scheme, are
exercisable between 18 October 2003 and 18 October 2007,
and have an exercise price of £23.95. Included in these
85,000 additional options are 60,000 options granted to
directors as follows:

In addition, Sir Dominic Cadbury and Mr. Peter Woods have
joined the Board of Transense Technologies plc
('Transense') today and in accordance with the terms of
their appointment the Remuneration Committee has allotted
options to them over ordinary shares under Transense's
unapproved discretionary share option scheme. Sir
Dominic Cadbury has been granted options at £20.75 over
50,000 Transense ordinary shares to be exercised between
22 September 2003 and 22 September 2007. Mr. Peter Woods
has been granted options at £21.875 over 50,000 Transense
ordinary shares to be exercised between 2 October 2003
and 2 October 2007. These options represent the entire
beneficial interest held by both Directors in the
ordinary shares of Transense.
