Travis Perkins pays £45.9 million for Commercial Ceiling Factors
Travis Perkins, one of the UK's three leading building materials suppliers and
the largest distributor of heavyside building products, has acquired the
drylining and insulation specialists Commercial Ceiling Factors and Basic
Partition Systems ('CCF'), for £45.9m.
CCF, the second largest player in its sector, has 20 distribution centres
supplying drylining and insulation products, suspended ceilings, partitions and
doors throughout the UK. The consideration, payable in cash, is subject to
final agreement of the net asset value at completion. Assumed borrowings,
included in the consideration, at 30 September 2002 are estimated to be £7.5m.
Operating profits of the acquired businesses for the year ended 31 August 2002
were £5.1m on a turnover of £104.2m. Net assets were £11.0m.
Frank McKay, chief executive of Travis Perkins, commented:
'Added to the six Atkins centres already owned, the acquisition of CCF increases
Travis Perkins' total number of specialist drylining and insulation centres to
26. It significantly increases our share of the combined market including
ceilings and partitioning.

ability to service customers in the growing drylining and insulation sector. In
addition this simultaneous move into ceilings and partitions is consistent with
our strategy of investing in complementary product areas within our chosen
