                             Director Shareholding


In common with all eligible employees, each of the executive directors and
member s of the Company's Executive Committee were invited on 10 August 2007 to
participate in the Company's Share-save scheme and were given an option to buy
shares in the Company in 3 or 5 years time at an option price of 1414p. The
options were granted on 5 September 2007.


The following elected to apply to join the scheme and were issued with their
option certificate on 5 October 2007;-


Paul Hampden Smith, a director of the Company, was granted an option over 1,158
shares, which will normally be exercisable between 1 December 2012 and 31 May
2013.


Carol Kavanagh, a member of the Company's Executive Committee, was granted an
option over 668 shares, which will normally be exercisable between 1 December
2010 and 31 May 2011.


Andrew Pike, a member of the Company's Executive Committee, was granted an
option over 334 shares, which will normally be exercisable between 1 December
2010 and 31 May 2011.


Arthur Davidson, a member of the Company's Executive Committee, was granted an
option over 668 shares, which will normally be exercisable between 1 December
2010 and 31 May 2011.


Joe Mescall, a member of the Company's Executive Committee, was granted an
option over 200 shares, which will normally be exercisable between 1 December
2010 and 31 May 2011.
