Notification of voting rights and capital and Director/PDMR Shareholding

As at the date of this announcement, Travis Perkins plc's (the Company's) issued share capital consists of 208,622,493 ordinary shares with a nominal value of 10 pence each (Ordinary Shares), with voting rights. The Company does not hold any Ordinary Shares in Treasury. Therefore, the total number of Ordinary Shares with voting rights is 208,622,493.

The above figure of 208,622,493 Ordinary Shares may be used by shareholders in the Company as the 'denominator' for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the Financial Services Authority's disclosure and transparency rules. 

As a result of the Company's 7 for 10 Rights Issue of 85,903,379 new ordinary shares of 10p each (New Shares) at 365 pence per New Share, which closed for acceptances on 11 June 2009, the Company has been notified that interests of the Directors and Senior Managers and their connected persons in the Company's ordinary shares of 10p each increased as below:
