Directors' Interests
The Company has been informed that Mr J. P. Carter, a director of the company,
exercised options over 20,000 ordinary shares of 10p each in the company
('shares') at a price of 571.5p per share on 11 September 2001. Mr Carter and
his wife sold 1,500 shares at a price of 789p per share and Mr Carter has also
sold 20,000 shares at a price of 787.5p per share on 11 September 2001.
As a result of these transactions, Mr. Carter has a beneficial interest in
7000 shares, representing 0.0063% of the issued share capital of the company.
In addition, the company has been informed that the Travis Perkins plc ESOP
Trust acquired by subscription on 11 September 2001, at a price of 787.5p per
share, a total of 20,000 shares, all of which have been transferred to satisfy
options exercised under the Company's 1995 Executive Share Option Scheme ('the
Scheme'). As potential beneficiaries under the Scheme, each executive director
of the Company is treated as being interested in such shares.
