            Notification of changes in directors' share interests


Travis Perkins plc ('the company') has today been informed of the following
changes in the interests in the company's 10p Ordinary Shares ('shares') of
the following directors of the company:-



E.R.A. Travis

Mr Travis today sold 600,000 shares, beneficially owned by him, at a price of
795p per share. As a result, he now has an interest in 13,124,670 shares
representing 11.72% of the company's issued share capital. Mr. Travis has
announced his intention to retire from the board of the company on 31st
October 2001.



C.M. Fisher

Mr Fisher today sold 37,500 shares beneficially owned by him. In addition, the
trustees of three settlements for the benefit of Mr Fisher's minor children
today sold a total of 131,500 shares. All these sales were at a price of 795p
per share. In addition, Mr Fisher today disposed of 2500 shares for nil
consideration. As a result of these dealings, Mr Fisher now has a beneficial
interest in 620,444 shares representing 0.55% of the company's issued share
capital.
