                            Directors Shareholding


On 9 January 2002, Travis Perkins plc (the 'Company') was informed that the
Travis Perkins plc ESOP Trust (the 'Trust') acquired by subscription on the
same day, at a price of £8.51 per share, a total of 5,249 ordinary shares of
10p each in capital of the Company, all of which have been transferred to
satisfy options exercised under the Company's 1995 Executive Share Option
Scheme (the 'Scheme'). As potential beneficiaries under the Scheme, each
executive director of the Company is treated as being interested in such
shares.
