Director Shareholding
Mr F.J. McKay, a director of Travis Perkins plc (the 'Company'), has exercised
the following options over ordinary shares of 10p each in the capital of the
Company, at a price of 594p under the terms of the Company's 1995 Executive
Share Option Scheme (the 'Scheme'). He subsequently sold all shares acquired at
the prices detailed below:

As a result of these transactions, Mr McKay has a beneficial interest in 7,444
shares in the Company, representing less than 0.01 per cent of the issued share
capital.
The Company was also informed that the shares to satisfy the exercise of options
by Mr McKay were acquired by subscription by the Travis Perkins plc ESOP Trust
(the 'Trust'). As potential beneficiaries under the Scheme, each executive
director of the Company is treated as having been interested in such shares.
