                             Directors Shareholding


On 6 February 2003 Travis Perkins plc (the 'Company') was informed that Travis
Perkins QUEST Trustee Limited, a wholly-owned subsidiary of the Company, as
trustee of the Travis Perkins Qualifying Employee Share Ownership Trust (the
'QUEST') had on the same day acquired by subscription at a price of 940 pence
per share a total of 2,089 ordinary shares of 10 pence each in the Company. The
shares were immediately transferred by the QUEST to employees in satisfaction of
the exercise of options under the Company savings-related share option scheme.

The executive directors of the Company, being potential beneficiaries of the
QUEST were deemed to have an interest in the shares whilst held by the QUEST and
ceased to have an interest when the shares were transferred to participants.
