Director Shareholding
Travis Perkins plc ('the Company') has been notified that on 2 April 2003 Mr
Paul Hampden Smith, a Director of the Company, purchased from his wife 1418
ordinary shares of 10p each in the Company at a price of 1014p per share, and
that his wife sold 1440 ordinary shares of 10p each at a price of 1008p. On 3
April 2003 his wife also transferred 2342 ordinary shares of 10p to him and he
then sold the 2342 shares at a price of 1024p. As a result, Mr Hampden Smith now
has a beneficial interest in 4,419 ordinary shares of 10p each in the Company,
representing less than 0.01% of the issued share capital.
