                    Results of Extraordinary General Meeting



The board of Travis Perkins announces that at the Extraordinary General Meeting
held earlier today, the resolution approving the acquisition of Wickes Limited
was duly passed.



The only condition to the offer for Wickes Limited which remains outstanding
relates to clearance by the Office of Fair Trading (the 'OFT), as referred to on
page 9 of the Circular to shareholders dated 14 January 2005.



A further statement from the OFT in relation to the acquisition is expected
within the next week.
