                              TRAVIS PERKINS PLC

On 3 May 2001, Travis Perkins plc ('the Company') was informed that the Travis
Perkins plc ESOP Trust ('the Trust') acquired by subscription on the same day,
at a price of £7.35p per share, a total of 59,249 ordinary shares of 10p each
in the capital of the Company, all of which have been transferred to satisfy
options exercised under the Company's 1995 Executive Share Option Scheme ('the
Scheme'). As potential beneficiaries under the Scheme, each executive director
of the Company is treated as being interested in such shares.
