("Tri-Star" or the "Company")
Placing
The board of directors of Tri-Star (the "Board") is pleased to announce that the Company has placed a total of 270,800,000 new ordinary shares (the "Placing Shares") in the capital of the Company, conditional on admission of the Placing Shares to trading on AIM, at a placing price of one penny per share (the "Placing") with institutional and professional investors, raising £2.7 million, gross of expenses. In addition, each Placing Share will have a three year half warrant attached to it which will be exercisable at 2 pence, and a three year half warrant attached to it which will be exercisable at 3 pence (together, the "Placing Warrants").
The Placing Shares will rank pari passu with all existing ordinary shares in the capital of the Company, and application will be made for the Placing Shares to be admitted to trading on AIM ("Admission") on 6 April 2011. Following the Placing, the enlarged issued share capital of the Company will total 5,033,347,275 ordinary shares. The Placing Warrants will not be admitted to trading on AIM.
As announced by the Company on 31 January 2011, Tri-Star intends to use the net proceeds from the Placing to fund a further detailed assessment of the antimony deposit within the Company's mine area, to extend the drilling programme into new areas of the Company's mining licence, to commence the planning, design and approval process for the construction of a processing plant and for general working capital purposes.
Following the Placing, the above figure of 5,033,347,275 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Tri-Star under the Financial Service Authority's Disclosure and Transparency Rules. The Company does not hold any shares in treasury.
