Acquisition of Atlas Media Group Limited
Tribal Group plc ('Tribal Group'), the provider of professional support services
to the UK public sector, is pleased to announce the acquisition of Atlas Media
Group Limited ('Atlas') for a total consideration of up to £5.8 million.
Atlas, based in Yorkshire, is the largest, independent supplier of public
relations, communications and design services to the National Health Service.
It provides public and media relations services to more than 20 health service
clients under contracts of between one and three years and supplies PR
consultancy services to a further 12 organisations involved in the health
sector. Atlas is one of nine firms on the Department of Health's roster of
preferred suppliers of PR campaign services. Atlas also has a three year
contract to publish the NHS Magazine, the Department of Health's flagship
publication, which has won a number of prestigious industry awards. PR Week
recently named Atlas as the fastest growing PR agency in the North of England.
Tribal Group has purchased the entire issued share capital of Atlas. In the 12
months ended 31 March 2002, Atlas reported operating profit (after normalised
directors' remuneration) of £322,000 on turnover of £2.0 million. Net assets at
31 March 2002 were £0.1 million. The initial consideration of £2.0 million has
been satisfied by:
• £1.5 million in cash; and
• the issue of 168,492 new ordinary shares of 5p each in Tribal Group plc
('New Tribal Group Shares').
Deferred consideration of up to £3.8 million will be paid based on the growth in
operating profit of Atlas in the periods ending 31 March 2006. The deferred
consideration will be satisfied by the issue of new Tribal Group shares or, at
Tribal Group's option, loan notes, save for the first £750,000 of deferred
consideration which will be satisfied in loan notes.
Application has been made for admission of the New Tribal Group Shares to
trading on the Official List of the London Stock Exchange. It is expected that
the New Tribal Group Shares will commence trading on the Official List on 2
October 2002. The New Tribal Group Shares will rank pari passu in all respects
with the existing ordinary shares of 5p each in Tribal Group.
