Tribal Group plc ('Tribal Group' or the 'Company')


Directors' shareholding


Tribal Group announces that pursuant to the terms of the placing and open
offer by the Company announced on 21 November 2001 (the 'Placing and Open
Offer'), David Telling, the non-executive chairman of Tribal Group, has
subscribed for 35,000 new ordinary shares of 5p each in the Company.

As a consequence, David Telling holds an interest in 224,384 ordinary shares
of 5p each in the Company, representing approximately 0.51 per cent. of the
issued share capital of the Company following completion of the Placing and
Open Offer. All of the other directors of Tribal Group's interests in the
share capital of the Company have not changed as a consequence of the Placing
and Open Offer.
