The Company received notification on 8 May 2002 that Zurich Financial Services
('ZFS') and its Group have an interest in 2,661,666 Ordinary Shares of 5p each
in the Company, representing  5.9 per cent. of the Company's issued Ordinary
Shares.

Morgan Trustee and Depositary Company Ltd, the Trustee for Eagle Star Unit
Managers Ltd and the Depository to Threadneedle Investment Funds ICVC.

ZFS is Zurich Financial Services, a company incorporated in Switzerland.
