Substantial Shareholding

Tribal Group plc (the 'Company')



In accordance with Section 198 of the Companies Act 1985, (as amended by Section
134 of the 1989 Act), the Company has been notified on 5 March 2002 that
Henderson Global Investors and its associated companies (acting as agent for its
discretionary clients) now hold, either directly or indirectly, 2,535,770
ordinary shares in the Company representing approximately 5.6% of the Company's
issued share capital.



This follows the purchase of 400,000 shares by Henderson Smaller Companies
Investment Trust whom now hold 1,363,771 shares in the Company representing
approximately 3.0% of the Company's issued share capital.
