Immediate Release
Trifast PLC
Main Board Changes
Trifast plc announce the following changes to the composition of its Non
Executive Directors:
1. The appointment of Eric Hutchinson as a Non-Executive Director of Trifast plc
with immediate effect.
Eric Hutchinson, aged 49 has worked for Spirent PLC (formerly Bowthorpe Holdings
PLC) since 1983 and before being appointed Group Finance Director in 2000, he
was the Head of Financial Reporting and Control for 12 years.
Prior to this, Mr Hutchinson, after having trained as an Accountant with Thomas
McLintock & Co. (now KPMG) in 1977 went to Trinity College Oxford to undertake
post graduate research and worked in the Treasurer's department for South
Oxfordshire District Council. After three years, he joined the Economic Forestry
Group as Group Accountant before joining Bowthorpe Group as a Financial
Accountant in one of its manufacturing subsidiaries.
Eric will also be appointed Chairman of both the audit and remuneration
committees. The Combined Code on Corporate Governance requires that the audit
committee includes a member who has recent, significant and relevant financial
experience and the Board believes that Eric brings such additional experience.
Trifast PLC confirms that there are no other details relating to the appointment
of Eric Hutchinson that it is required to disclose under paragraph 6.F.2 (b-g)
of the Listing Rules of the UK Listing Authority.
2. The resignation of Ben Stevens as a Non-Executive Director of Trifast plc
After nearly four years with the Group, Ben Stevens has decided to step down as
a Non-Executive Director and leaves the Group at the end of June 2004. This is
to enable Ben to focus on his increasing executive responsibilities as Regional
Director - Europe, for British American Tobacco (Holdings) Ltd.
Commenting on the changes, Anthony Allen, Chairman of Trifast said:
"The team welcome Eric to the Company. Eric's technical skills in financial
control, tax and treasury add further strength to the Board's skills base. In
addition, he has an in-depth knowledge of the electronics manufacturing and
distribution sector, broad international experience as well as a wealth of
experience in corporate governance and strategic planning - all this will be
invaluable as the Group continues to move forward."
"On behalf of the Board, I would also like to thank Ben for his valuable
contribution that he has made to the Group since 2000 and we wish him well for
the future"
