PUBLICATION OF PROSPECTUS & Amendment to Transaction Documents

TSB BANK PLC

(the Issuer)

£10,000,000,000 Global Covered Bond Programme of TSB Bank plc

unconditionally and irrevocably guaranteed as to payments of interest and principal by  

TSB Covered Bonds LLP (the Programme)

NOTICE IS GIVEN by the Issuer to the holders of the Covered Bonds that:

1.       The following Prospectus has been approved by the Financial Conduct Authority and is available for viewing:

Prospectus dated 19 July 2023 (the Prospectus) relating to the £10,000,000,000 Global Covered Bond Programme of TSB Bank plc unconditionally and irrevocably guaranteed as to payments of interest and principal by TSB Covered Bonds LLP.

The Prospectus has been submitted to the National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.   

2.       As of 19 July 2023 the following Transaction Documents, in connection with the appointment of Lloyds Bank plc as an Account Bank (the Additional Account Bank) and the opening of a new Transaction Account in the name of TSB Covered Bonds LLP, were amended and restated:  

·    the Master Definitions and Construction Agreement; and

·    the Cash Management Agreement.

The LLP, the Cash Manager, the Additional Account Bank and the Security Trustee have entered into a new bank account agreement (the Additional Bank Account Agreement) and the Additional Account Bank has entered into an Accession Undertaking to the Deed of Charge and is now a party to the Deed of Charge and is a Secured Creditor. The Additional Bank Account Agreement is a Transaction Document.
