DEALINGS BY DIRECTORS

TT electronics plc ('TT electronics') has been notified pursuant to the
Companies Act 1985 that on 23 May 2001, TT electronics granted options under the
1996 Unapproved Executive Share Option Scheme ('the 1996 Scheme') to the
undermentioned executive directors of TT electronics to subscribe for the
following number of shares of 25p each of TT electronics at 166p per share.
