BROCHURE OF PARTICULARS

                   Tullow Oil plc ('Tullow' or 'the Company')







A block listing application has been made to the UK Listing Authority and to the
Irish Stock Exchange for a total of 4,859,883 Ordinary Shares of nominal value
GB£0.10 each, in the capital of Tullow, to be admitted to the Official List of
the UK Listing Authority and the Official List of the Irish Stock Exchange, and
application has been made to the London Stock Exchange for such shares to be
admitted to trading.



 These shares will be allotted from time to time following the exercise of share
options pursuant to the Tullow Oil plc 1988 Executive Share Option Scheme
(859,883 shares), the Tullow Oil plc 1998 Executive Share Option Scheme
(1,000,000 shares) and the Tullow Oil plc 2000 Executive Share Option Scheme
(3,000,000 shares).
