Voting Rights and Share Capital

In conformity with the Transparency Directive's transitional
provision 6, Lupus Capital plc ("the Company") notifies the market of
the following:

The Company's share capital consists of 616,559,778 ordinary shares
with voting rights.  The Company holds no shares in Treasury.

The above figure may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to
notify their interest in, or a change of interest in, the Company
under the FSA's Disclosure and Transparency Rules.
